Terms and Conditions of Use

This is a courtesy translation. The Spanish version is the legally binding one and prevails in case of discrepancy.

1. Purpose and acceptance

These Terms and Conditions of Use (hereinafter, the “Terms”) govern access to and use of the TuEmpleadoVirtual platform (hereinafter, “the Platform”), owned by Trazados Consulting S.L., with tax ID (NIF) B21814827 and registered office at Plaza San Juan de la Cruz, 7, 8º puerta 6, 28003 Madrid.

Accessing or using the Platform, whether in its trial or paid version, implies full and unreserved acceptance of each and every one of the Terms set out here, as well as of the Legal Notice and the Privacy Policy. If the user does not agree with the Terms, they must refrain from using the Platform.

2. Description of the service

TuEmpleadoVirtual is a management and assistance platform for property administration firms and communities of owners. Among other features, the Platform allows:

• Management of communities of owners, units, owners and suppliers.
• Management and follow-up of incidents.
• Communications with owners and suppliers, including email and messaging channels.
• A conversational assistant to support administration tasks.
• Document management associated with the firm’s activity.

The proposals and responses generated by the automated features are supportive in nature and do not replace the user’s professional judgement; the user is responsible for reviewing them before use.

3. Registration and user account

Access to the Platform requires prior registration of the user. The user guarantees the truthfulness and accuracy of the data provided and undertakes to keep it up to date.

The user is responsible for safeguarding their access credentials (email and password) and undertakes not to share them with third parties. The user will immediately notify Trazados Consulting S.L. of any unauthorised use of their account or any security breach of which they become aware.

Trazados Consulting S.L. reserves the right to suspend or cancel the user’s account, with prior notice where possible, in the event of breach of these Terms.

4. Plans, subscriptions and payments

The financial terms, functional scope and duration of each plan are detailed in the Platform’s commercial information. Subscriptions renew automatically at the end of each period unless the user expressly cancels before the renewal date.

The user may cancel their subscription at any time, retaining access to the contracted features until the end of the period already invoiced. Unless mandatory law provides otherwise, amounts paid are non-refundable.

4-bis. Referral programme

Users with an active subscription have a personal referral code. When a new firm subscribes to the Platform quoting that code, the referrer receives usage credit in their account and the referred firm starts its subscription with additional credit. The credit is granted once per referred firm, at the time of effective sign-up, and is credited in service units: it is not money, it cannot be exchanged for money and it is not deducted from any invoice.

The code is personal and its use is limited to referring firms that are not already customers. Trazados Consulting S.L. reserves the right not to apply the programme where it detects fraudulent or abusive use, as well as to change the amounts or end the programme at any time, without affecting credit already granted. The consumption of messages through external providers —such as WhatsApp messages billed by Meta— is governed by those providers’ terms and is outside this credit.

5. User rights and obligations

The user undertakes to:

• Make diligent, correct and lawful use of the Platform.
• Not use the Platform for fraudulent purposes, nor engage in conduct that may harm the image, interests and rights of Trazados Consulting S.L. or third parties.
• Not attempt to access, use or tamper with data, accounts or systems that do not belong to them.
• Lawfully process the personal data of third parties (owners, suppliers) that they enter on the Platform, ensuring that they have the necessary legal basis to do so, acting in that case as data controller.
• Respect the intellectual property of the Platform and of third-party content.
• Not resell, sublicense or redistribute the features or content of the Platform without the express written authorisation of the Owner.

6. Data processing on behalf of the user

To the extent that the user enters third-party personal data on the Platform in the course of their property administration activity, the user acts as data controller and Trazados Consulting S.L. as data processor, in accordance with article 28 of the GDPR (in Spanish, RGPD). Trazados Consulting S.L. will process such data only to provide the contracted service and following the user’s instructions.

7. Intellectual and industrial property

All intellectual and industrial property rights over the Platform, its design, source code, trademarks, logos, texts, images, graphic content and visual elements are the exclusive property of Trazados Consulting S.L. or of third parties who have authorised their use.

The user only has a limited, non-exclusive, non-transferable and revocable right to use the Platform and its features, limited to the scope strictly necessary for the professional use of the contracted service.

8. Limitation of liability

Trazados Consulting S.L. makes its best efforts to ensure the correct operation of the Platform. However, decisions the user takes based on the information or proposals provided by the Platform are the user’s sole responsibility.

Trazados Consulting S.L. will not be liable for direct or indirect damages, loss of profit, loss of data or any other harm arising from the use of the Platform, from the impossibility of using it, or from decisions made on the basis of the information displayed, except in cases of wilful misconduct or gross negligence expressly provided for by applicable law.

In any case, the liability of Trazados Consulting S.L. towards the user will be limited, to the maximum extent permitted by law, to the amount actually paid by the user in the twelve months prior to the event giving rise to liability.

9. Availability of the service

Trazados Consulting S.L. will make its best efforts to keep the Platform continuously available, although it does not guarantee the absence of interruptions arising from maintenance tasks, updates, technical incidents or force majeure. Trazados Consulting S.L. reserves the right to carry out planned maintenance, communicating it with reasonable notice where possible.

10. Amendment of the Terms

Trazados Consulting S.L. reserves the right to amend these Terms at any time. Amendments will take effect from their publication on the Platform. In the event of substantial changes, Trazados Consulting S.L. will inform the user with reasonable notice by email or by a visible notification on the Platform. Continued use of the Platform after such notification will constitute acceptance of the amended Terms.

11. Termination

The user may end the contractual relationship at any time by cancelling their account or subscription. Trazados Consulting S.L. may suspend or terminate the contractual relationship in the event of serious or repeated breach of these Terms, as well as for any use of the Platform that may pose a risk to the security of the system or to other users.

12. Data protection

The processing of the user’s personal data is governed by the Privacy Policy, which forms an integral part of these Terms. The user declares that they have read and accept the Privacy Policy at the time of registration.

13. Governing law and jurisdiction

These Terms are governed by Spanish law. For the resolution of any dispute that may arise from the use of the Platform or from the interpretation or application of these Terms, the parties submit to the courts and tribunals that are competent under applicable law, unless the rules applicable to the consumer user establish a different mandatory jurisdiction.
